The Website provides informational content about OLN Labs, our services, our portfolio products, and our approach to designing, building, and operating AI-native software. The Website also allows visitors to contact us and book introductory calls through an embedded scheduling tool.

The Website itself is provided free of charge. Engagements with OLN Labs to design, build, operate, or otherwise deliver services are governed by a separate written agreement entered into between you and OLN Labs at that time. Nothing on the Website constitutes a binding offer to provide services.

03Eligibility and account responsibilities

The Website is intended for use by individuals aged 18 years or older and by businesses. By using the Website, you represent that you meet this eligibility requirement.

We do not currently offer user accounts on the Website. If we add accounts in the future, you will be responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

We reserve the right to investigate and take appropriate action against any violation of these Terms, including suspending or terminating access and pursuing legal remedies.

6.1 Our intellectual property

All content on the Website — including text, copy, code, design, graphics, photographs, screenshots, logos, trademarks, and arrangement — is owned by OLN Labs or its licensors and is protected by Indian and international intellectual property laws. The OLN Labs name, logo, and brand elements are trademarks of OLOG N Solutions Technology LLP.

Except as expressly permitted by these Terms, no part of the Website may be reproduced, distributed, modified, displayed, performed, republished, downloaded, stored, or transmitted in any form or by any means without our prior written permission.

6.2 Limited licence to use the Website

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for your personal or internal business purposes. This licence does not include any right to resell, redistribute, or commercially exploit the Website or its content.

6.3 Third-party trademarks

References to third-party trademarks, product names, or brand names on the Website (including those of SmartBDM, EasyInventory, Vruent, TruePrice, and other named products or partners) are for identification purposes only and remain the property of their respective owners.

6.4 Feedback

If you provide us with suggestions, ideas, feedback, or other input about the Website or our services, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback for any purpose without restriction or compensation.

07Client engagements

Inquiries, calls, and informal discussions through the Website do not by themselves create a binding engagement. Any engagement between you and OLN Labs is governed by a separate, signed written agreement (a "Statement of Work", "Master Services Agreement", or equivalent) that specifies scope, deliverables, timelines, fees, payment terms, IP assignment, confidentiality, and other terms specific to the engagement.

In the event of any conflict between these Terms and a signed engagement agreement, the signed engagement agreement governs the engagement.

We reserve the right, in our sole discretion, to decline any potential engagement for any reason, including where we believe the project is not a fit for our capabilities, where the proposed use of AI is decorative rather than essential, or where the engagement would conflict with our values or obligations to existing clients.

08Third-party services and links

The Website integrates with and links to third-party services, including:

• Cal.com — for scheduling introductory calls
• Vercel — for website hosting
• Umami — for cookieless analytics
• Our portfolio products — SmartBDM, EasyInventory, Vruent, TruePrice, and others, which have their own websites, terms, and privacy policies

We do not control these third-party services and are not responsible for their content, terms, privacy practices, or availability. Your use of any third-party service is at your own risk and governed by that service's own terms.

09Disclaimers

The Website and its content are provided "as is" and "as available", without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

It is not legal, financial, medical, tax, investment, regulatory, or other professional advice, and should not be relied on as such. 10Limitation of liability

To the maximum extent permitted by applicable law:

• OLN Labs and its directors, partners, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or in connection with your use of the Website or its content, even if we have been advised of the possibility of such damages
• Our aggregate liability arising out of or in connection with the Website or these Terms shall not exceed INR 10,000 (or its equivalent in your local currency)
• For client engagements, liability is governed by the relevant signed engagement agreement, which typically caps OLN Labs' liability at the fees paid by the client in the twelve months preceding the claim

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11Indemnification

You agree to indemnify, defend, and hold harmless OLN Labs and its directors, partners, employees, agents, and licensors from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Website in violation of these Terms or applicable law
• Your infringement of any third-party rights
• Any content or information you submit to us through the Website

12Termination

We may suspend or terminate your access to the Website at any time, with or without notice, for any reason, including breach of these Terms. The provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive any termination.

13Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-laws principles.

Subject to the dispute resolution provisions below, the courts located in Vaishali, Ghaziabad, Uttar Pradesh, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or in connection with these Terms or the Website.

Before initiating any formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of at least thirty (30) days following written notice of the dispute.

14Modifications to these Terms

We may modify these Terms at any time by posting an updated version on the Website. The "Last updated" date at the top of these Terms indicates when they were last revised. Your continued use of the Website after any such update constitutes your acceptance of the modified Terms.

We encourage you to review these Terms periodically. If you do not agree with any modifications, you should stop using the Website.

15General provisions

15.1 Entire agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and OLN Labs regarding the Website, and supersede any prior agreements or understandings.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 No waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms in whole or in part at our discretion, including in connection with a merger, acquisition, or sale of assets.

15.5 Force majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, pandemic, government action, network or infrastructure failures, or third-party service outages.

15.6 No third-party beneficiaries

These Terms do not confer any rights or remedies on any person other than you and OLN Labs.

15.7 Language

These Terms are drafted in English. In the event of any conflict between any translation and the English version, the English version shall prevail.
